Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the TechChirp website, company-search tools, reports, bulk-verification services, and related features (collectively, the “Services”). In these Terms, “TechChirp,” “we,” “us,” and “our” refer to the operator of TechChirp.com. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and authority

You must be at least 18 years old and legally able to enter into a binding agreement to use the Services. If you use the Services for a business or another organization, you represent that you have authority to bind that organization to these Terms.

2. Nature of the Services

TechChirp provides tools for locating, organizing, and reviewing business and company information. Information may be collected from public records, government sources, licensed providers, company websites, user submissions, and other third-party sources. We may add, remove, update, summarize, or reorganize information at any time.

Search results and reports are provided for general informational and business-research purposes only. TechChirp is not a government agency, law firm, accounting firm, credit bureau, or financial adviser, and use of the Services does not create a professional, fiduciary, or advisory relationship.

3. Accuracy and independent verification

Company information can change without notice and may be incomplete, delayed, inaccurate, duplicated, or associated with a similarly named entity. We do not guarantee that any record, status, address, officer, filing, identifier, or other information is current, complete, or error-free. You are responsible for independently verifying important information with the relevant company, official registry, regulator, or other original source before relying on it or making a decision.

4. Not a consumer report

TechChirp is not a consumer reporting agency, and the Services are not intended to provide “consumer reports” under the Fair Credit Reporting Act or similar laws. You may not use the Services, in whole or in part, to determine a person’s eligibility for employment, credit, housing, insurance, government benefits, or any other purpose regulated by consumer reporting laws.

5. Permitted use

Subject to these Terms, TechChirp grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for lawful personal or internal business purposes. Any commercial reuse, redistribution, data resale, automated access, or bulk use requires our prior written authorization or a separate agreement.

6. Prohibited conduct

You agree not to:

• use the Services for unlawful, fraudulent, deceptive, discriminatory, or harmful activity;
• scrape, crawl, harvest, index, download, or extract data through automated means without our written permission;
• copy, republish, sell, license, distribute, or create a competing database or service from TechChirp content;
• circumvent rate limits, access controls, robots directives, security measures, or usage restrictions;
• probe, scan, disrupt, overload, or attempt to gain unauthorized access to the Services or related systems;
• submit malicious code or use bots, scripts, or other tools that interfere with normal operation;
• impersonate another person or organization or misrepresent your identity, affiliation, or purpose;
• use the Services to harass, threaten, stalk, identify, or target an individual; or
• remove copyright, trademark, attribution, or other proprietary notices.

7. Accounts and security

Some features may require an account. You must provide accurate information, maintain the confidentiality of your credentials, and promptly notify us of suspected unauthorized use. You are responsible for activity conducted through your account. We may require identity, payment, business, or usage verification before providing access to certain features.

8. Paid services and bulk verification

Prices, included usage, delivery estimates, and other conditions for paid or bulk services will be shown at checkout or stated in a separate quote, order form, or agreement. You agree to pay all applicable charges and taxes. Unless otherwise stated in writing, fees are charged in U.S. dollars and are non-refundable after processing or delivery begins, except where a refund is required by law.

Bulk results may depend on the quality, format, completeness, and accuracy of the information you provide. Estimated match rates and delivery times are not guarantees. Additional terms in an accepted quote or order form control if they conflict with this section.

9. User submissions

If you submit information, feedback, correction requests, files, or other material, you represent that you have the right to provide it and that it is accurate to the best of your knowledge. You grant TechChirp a worldwide, non-exclusive, royalty-free license to host, reproduce, process, adapt, and use the submission as reasonably necessary to operate, secure, and improve the Services. This license does not transfer ownership of your material.

10. Corrections and removal requests

If you believe a company record is inaccurate, outdated, or improperly displayed, contact us and identify the relevant page, the requested correction, and supporting official documentation. We may verify the request and may preserve information when required by law, necessary for security or recordkeeping, or obtained from an official public source.

11. Intellectual property

The Services, including their design, software, selection, organization, branding, and original content, are owned by or licensed to TechChirp and are protected by intellectual property laws. “TechChirp” and associated logos and branding may not be used without prior written permission. Third-party company names, trademarks, and records remain the property of their respective owners, and their appearance does not imply endorsement or affiliation.

12. Third-party content and links

The Services may display third-party content or links. TechChirp does not control or endorse third-party websites, products, services, statements, or privacy practices. Your dealings with third parties are solely between you and the third party, and you access third-party resources at your own risk.

13. Privacy

Our collection and use of personal information are described in our Privacy Policy. By using the Services, you acknowledge that information may be processed as described there and as permitted by applicable law.

14. Service availability and changes

We may modify, suspend, restrict, or discontinue any part of the Services at any time. We do not guarantee uninterrupted access, continued availability of any record or feature, or compatibility with every device or browser. Maintenance, third-party outages, security events, or circumstances beyond our control may affect availability.

15. Suspension and termination

We may limit, suspend, or terminate your access if we reasonably believe you violated these Terms, created risk or legal exposure, failed to pay applicable fees, or used the Services in a way that may harm TechChirp, our users, data sources, or third parties. Provisions that by their nature should survive termination will remain in effect.

16. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TECHCHIRP DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE COMPLETE, SECURE, UNINTERRUPTED, CURRENT, OR ERROR-FREE.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHCHIRP AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TECHCHIRP FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT OR (B) ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless TechChirp and its owners, officers, employees, contractors, and affiliates from claims, liabilities, losses, damages, and reasonable costs arising from your misuse of the Services, violation of these Terms, infringement of another party’s rights, or unlawful use of information obtained through the Services.

19. Governing law and disputes

These Terms are governed by the laws applicable in the jurisdiction where TechChirp’s operating entity is established, without regard to conflict-of-law principles. Unless applicable law requires otherwise, any dispute must be brought in a court with jurisdiction over TechChirp’s principal place of business. Before filing a claim, each party agrees to make a good-faith effort for at least 30 days to resolve the dispute informally.

20. Changes to these Terms

We may update these Terms from time to time. The revised version will be posted on this page with a new effective date. Changes apply prospectively when posted unless a later date is stated. Your continued use of the Services after revised Terms take effect constitutes acceptance of the changes.

21. General provisions

These Terms, together with any applicable order form and incorporated policies, constitute the entire agreement concerning the Services. If a provision is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a merger, reorganization, asset transfer, or operation of law. Headings are for convenience only.
